The following FUTURE INSIGHTS BUSINESS ACCELERATOR CONTEST Official Rules (“Official Rules”) govern the (mt) MediaTemple, Inc. (“Media Temple”) sponsored Future Insights Flyaway Contest (the “Contest”), in whichTWO (2) eligible entrants will be chosen by Media Temple to each win a trip for ONE (1) to attend theFuture Insights Live 2013 event (the “Prize”), as set forth herein. No purchase necessary to enter orwin. A purchase will not increase your chances of winning.
Eligibility: The Contest is open only to individuals who are residents of the 50 United States (includingthe District of Columbia) and are twenty-one (21) years of age or older at the time of entry. MediaTemple and the Future Insights Live 2013 event (“Future Insights”) and each of their respectiveadvertising or promotion agencies, those involved in the production, development, implementation orhandling of the Contest, any agents acting for, or on behalf of the above entities, their respectiveparent companies, members, officers, directors, subsidiaries, affiliates, licensees, service providers,prize suppliers any other person or entity associated with the Contest (collectively, “Contest Entities”)and/or directors, employees, officers, each of their immediate family (spouse, parents, legalguardians, in-laws, grandparents, grandchildren, siblings and children) and household members(whether legally related or not) of each such employee, are not eligible. All applicable federal, stateand local laws and regulations apply. Void in Puerto Rico and where prohibited by law.
Sponsor: The Contest is sponsored by Media Temple, Inc., 8520 National Blvd, #A, Culver City, CA90232 (“Sponsor”).
Agreement to Official Rules: Participation in the Contest constitutes entrantʼs full and unconditionalagreement with and acceptance of these Official Rules and the decisions of the Sponsor, which arefinal and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.
Entry Period: Begins at 12:00 PM PST on April 1, 2013 and ends at 4:00 PM PST on April 4, 2013(the “Entry Period”). Entries received before 12:00 PM PST on April 1, 2013 or after 4:00 PM PST onApril 4, 2013 are ineligible, null and void. Potential winners will be notified via email, and possiblyTwitter and/or Facebook. Winners will be announced to the general public on Sponsorʼs officialFacebook page at https://www.facebook.com/mediatemple
Entry: During the Entry Period eligible participants may enter the Contest by posting a comment onSponsorʼs blog re-telling their best Vegas story. Use of any agencies or automated software to submitentries will void all entries submitted by that person. Subsequent attempts made by the sameindividual to submit multiple entries by using multiple or false contact information or otherwise may bedisqualified. Entries that are incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost,late or misdirected, deceptive or otherwise not in compliance with the Official Rules may bedisqualified from the Contest at Sponsorʼs sole and absolute discretion. For purposes of this Contest,an entry is considered “received” when the Sponsorʼs servers record the entry information. Proof ofsending (such as an automated computer receipt confirming entry or a “thanks for entering” message)does not constitute proof of actual receipt of an entry for purposes of this Contest. The Sponsorʼswebsiteʼs database clock will be the official timekeeper for this Contest.
Selection of the Potential Winner: The Potential Winners of the Contest will be determined by MediaTemple, at its sole and absolute discretion, based on, in Sponsorʼs judgement, the best story amongall eligible entries received by 4:00 PM PST on April 4, 2013. There will only be TWO (2) winners. ThePotential Winners will be announced and notified at, about or after 5:00 PM PST on April 5, 2013.
Media Temple will notify the Potential Winners via email, and possibly by direct message via Twitterand/or Facebook.
Requirements of the Potential Winner: Entrant who is notified by Sponsor that his/her entry wasselected is a Potential Winner. Sponsor is not responsible and shall not be held liable for any late,lost, misdirected or unsuccessful efforts to notify a Potential Winner. Except where prohibited, thePotential Winner will be required to complete, sign and return to Sponsor, within a specified timeframe to be determined by Sponsor, an Affidavit of Eligibility, Liability/Publicity Release and W-9 form(“Required Documents”) in order to claim the Prize. Failure to return the Required Documents asspecified, or if prize notification is returned as undeliverable, will result in the entrant beingdisqualified, and the Prize may be awarded to a potential alternate winner. Potential Winner is not awinner until he/she has returned all Required Documentation and eligibility has been verified bySponsor. Potential winner must comply with all of the terms and conditions of these Official Rules,and winning is contingent upon fulfilling all requirements. Acceptance of the Prize constitutes consentto use winnerʼs name for editorial, advertising and publicity purposes (including, but not limited to useand promotion on Sponsorʼs Facebook and other social media pages) without additionalcompensation, except where prohibited by law. In addition, acceptance of Prize constitutes consent touse the name and email address provided by entrant for Sponsorʼs internal and promotionalmarketing purposes.
Prize: TWO (2) winners will each receive a trip for ONE (1) to Las Vegas, NV to attend the FutureInsights Live 2013 event (the “Prize”). The Prize includes: (i) round-trip, coach airfare for ONE (1)from the major airport nearest the winnerʼs residence to Las Vegas, NV, (ii) a six (6) night stay at aLas Vegas area hotel of Sponsorʼs choosing (one standard room, double occupancy), and (iii) ONE(1) conference pass, which will grant entry into the Future Insights Live 2013 event. Approximateretail value of the prize is $5,000.00. Dates of travel are scheduled for April 28, 2013 – May 3, 2013and are subject to change. Ground transportation, incidentals (including meals and tips), insuranceand all other expenses not specified above as included in the Prize are excluded and shall be thesole responsibility of the winner. No cash or other substitution may be made, except by the Sponsor,who reserves the right to substitute the Prize with another prize of equal or greater value if the Prizeis not available for any reason as determined by the Sponsor in its sole discretion. Actual retail valueof the Prize may vary depending on point of departure, travel dates and fare/rate fluctuations. Alltravel arrangements must be made through Sponsor or Sponsorʼs designee. Certain restrictions andblack out dates may apply. A winner must be able to travel when designated by Sponsor or the Prizemay be forfeited and an alternate winner of Sponsorʼs choosing may be chosen. Each winner isresponsible for any federal, state and local taxes and fees associated with receipt or use of the Prize.Each winner may choose to bring along a travel companion(s) completely at his/her own expense.Sponsor will not, in any way, whatsoever, cover the cost of or responsibility for any expense(s)incurred as a result of any travel companion(s) accompanying a winner. In the event a winnerchooses to bring along a travel companion(s), the travel companion(s) must be at least twenty-one(21) years of age or older. Each winner must possess all required travel documents, if and asapplicable. It is the responsibility of the winner and any travel companion(s) to provide properdocumentation (including government issued picture identification). All aspects of the travel portionsof the Prize must be conducted on such dates as determined by Sponsor in its sole and absolutediscretion. The dates of departure and return are subject to change at Sponsorʼs sole and absolutediscretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/orfrequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule orroute changes. Sponsor reserves the right to structure travel route and select hotels in their sole andabsolute discretion. A winner will not receive cash or any other form of compensation if actual travel
costs are less than the estimate made in these Official Rules. The round-trip air transportationelement of the Prize begins and ends at the point of departure. The Prize is subject to seat and hotelavailability, as well as Sponsorʼs terms and conditions generally applicable thereto. If in the judgmentof Sponsor air travel is not required due to winnerʼs proximity to the Prize location, groundtransportation will be substituted for round-trip air travel at Sponsorʼs sole and absolute discretion.The difference in value will not be awarded to the winner. Sponsor shall not be responsible for anycancellations, delays, diversions or substitution or any act or omissions whatsoever by the aircarriers, hotels, venue operators, transportation companies, prize providers or any other personsproviding any prize-related services or accommodations. Sponsor is not liable for any missed prizeevents, opportunities or expenses incurred as a consequence of flight cancellation/delay or groundtransportation delay. No refund or compensation will be made in the event of the cancellation or delayof any transportation or other Prize element except at the sole and absolute discretion of Sponsor.Each winner and any travel companion(s) are also responsible for obtaining travel insurance (and allother forms of insurance) at their option and hereby acknowledge that Sponsor has not and will notobtain or provide travel insurance or any other form of insurance. Each winner may be required toprovide a credit card at the time of hotel check-in. All travel companion(s) must execute liability/publicity releases prior to issuance of travel documents, within a timeframe to be determined bySponsor. If a winner chooses to bring along a travel companion(s), he/she may not be substituted,except in Sponsorʼs sole and absolute discretion. Travel is subject to the terms and conditions setforth in this Contest, and those set forth by Sponsorʼs transportation carrier(s) of choice. Lost, stolenor damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged.Transportation carrier and hotel regulations and conditions apply. Travel and lodging are subject toavailability, and any changes made to either of these will be at the expense of the winner. If, forwhatever reason, the Future Insights Live 2013 event and/or any related event(s) are cancelled orrescheduled after tickets are ticketed and/or conference passes issued, no compensation will be paidin lieu of any cancelled or rescheduled event(s). No responsibility is assumed by Sponsor if theFuture Insights Live 2013 event and/or any related event(s) are cancelled, rescheduled, delayed orpostponed, in whole or in part. Unused tickets and/or conference passes cannot be refunded orexchanged. No one may be admitted to the Future Insights Live 2013 event or related event(s)without a conference pass. In the event a winner (and/or his or her travel companion(s) (if applicable))engage in behavior that (as determined by Sponsor or any prize provider in its or their sole andabsolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy,abuse, threaten or harass any other person, Sponsor reserves the right to expel winner and/or theirtravel companion from the Future Insights Live 2013 event and/or any related event(s) at any time.Winner and/or their travel companion agree to obey all laws including, but not limited to, “drivingunder influence of drugs or alcohol,” as defined by Nevada law (http://www.leg.state.nv.us/NRS/NRS-484.html) to or from the Future Insights Live 2013 event and/or related event(s).
General Conditions: In the event that the operation, security, or administration of the Contest isimpaired in any way for any reason, including, but not limited to, fraud, virus, or other technicalproblem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address theimpairment and then resume the Contest in a manner that best conforms to the spirit of these OfficialRules; or (b) award the Prize from among the eligible entries received up to the time of theimpairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds tobe tampering with the entry process or the operation of the Contest or to be acting in violation ofthese Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person toundermine the legitimate operation of the Contest may be a violation of criminal and civil law, and,should such an attempt be made, the Sponsor reserves the right to seek damages from any suchperson to the fullest extent permitted by law. In the event Sponsor is prevented from continuing with
the Contest by any event beyond its control, including, but not limited to, fire, flood, epidemic,earthquake, explosion, labor dispute or strike, act of God or public enemy, communications orequipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war(declared or undeclared), interference with the Contest by any party, or any federal state or localgovernment law, order, or regulation, order of any court or jurisdiction, or other cause not reasonablywithin Sponsorʼs control Sponsor shall have the right to modify, suspend or terminate the Contest.The Sponsorʼs failure to enforce any term of these Official Rules shall not constitute a waiver of thatprovision. Sponsor reserves the right, in its sole and absolute discretion, to change these OfficialRules at any time, for any reason or no reason, without prior or further notice. In case of a dispute asto the identity of an entrant, entry will be deemed to have been submitted by the authorized accountholder of the e-mail address from which the entry is made. The authorized account holder is definedas the natural person who is assigned to an e-mail address by an Internet access provider, onlineservice provider, or other organization responsible for assigning e-mail addresses for the domainassociated with the submitted e-mail address. Winner may be required to show proof of being theauthorized account holder. In the event a dispute regarding the identity of the individual who actuallysubmitted an entry cannot be resolved to Sponsorʼs satisfaction, the affected entry will be deemedineligible.
Release and Limitation of Liability: By participating in the Contest, entrants agree to indemnify,release, discharge, and hold harmless each of the Contest Entities and Future Insights from andagainst any claims, liability, costs, losses, damages or injuries of any kind arising, or cause of actionarising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a)unauthorized human intervention in the Contest; (b) technical errors related to computers, servers,providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, orundeliverable mail; (e) errors in the administration of the Contest or the processing of entries; or (f)injury or damage (including death) to a person(s) or property which may be caused, directly orindirectly, in whole or in part, from entrantʼs participation in the Contest or receipt, use or misuse ofany prize. Entrant further agrees that in any cause of action, the Contest Entitiesʼ liability will belimited to the cost of entering and participating in the Contest, and in no event shall the ContestEntities be liable for attorneyʼs fees. Under no circumstances will any entrant be permitted to obtainany award for, and entrant hereby knowingly and expressly waives all rights to seek, punitive,incidental, consequential or special damages, lost profits and/or any other damages. Entrantsʼremedies are limited to a claim for money damages (if any) and entrant irrevocably waives any rightto seek injunctive or equitable relief. Some jurisdictions do not allow the limitations of exclusion ofliability, so the above may not apply to you.
Disputes: Except where prohibited, entrant agrees that any and all disputes, claims and causes ofaction arising out of, or connected with, the Contest or any prize awarded shall be resolvedindividually, without resort to any form of class action, and exclusively by the appropriate court locatedin Los Angeles, California. All issues and questions concerning the construction, validity, interpretationand enforceability of these Official Rules, entrantʼs rights and obligations, or the rights and obligationsof the Sponsors in connection with the Contest, shall be governed by, and construed in accordancewith, the laws of California, without giving effect to any choice of law or conflict of law rules (whetherof California or any other jurisdiction), which would cause the application of the laws of anyjurisdiction other than California.
Contest Results: To request the name of the winner, send a self-addressed stamped envelope toFuture Insights Flyaway Contest, c/o Sara Carter, Media Temple, Inc., 8520 National Blvd, #A, CulverCity, CA 90232. Winnerʼs List requests must be received by April 14th, 2013.
